Terms of Service

Gatherlane is an online event and wedding management platform operated by YENKO BUDDY (PTY) LTD, registration number 2025/302541/07, trading as Gatherlane ("Gatherlane", "we", "us", "our"). These Terms of Service govern access to and use of the Gatherlane website, applications, event pages, invitation tools, RSVP tools, update tools, guest media tools, vendor tools, donation or gift registry features and any related services (collectively, the "Platform").

These Terms apply to all users, including Event Owners, Guests, Vendors, visitors and any other person who accesses or uses the Platform. By creating an account, creating or accessing an event page, responding to an invitation, uploading content, making a payment, making a gift or donation contribution, listing services as a Vendor or otherwise using the Platform, you agree to these Terms.

These Terms must be read together with the Privacy Policy, Cookie Policy, Refund Policy, Vendor Agreement, Donation or Gift Registry Terms, and any other feature-specific terms that apply to the service you use.

1.2 Key definitions

Event Owner means a couple, host, organiser or other user who creates, manages or controls an event page or related event features on the Platform.

Guest means a person invited to or interacting with an event page, including a person who submits an RSVP, uploads media, sends a message or makes a gift or donation contribution.

Vendor means a business, individual or service provider who creates a vendor profile, receives enquiries, provides quotes, accepts bookings or supplies goods or services through or in connection with the Platform.

Content means information, images, videos, text, event updates, guest lists, RSVP responses, messages, reviews, ratings, vendor materials and any other material uploaded, posted, submitted or displayed through the Platform.

1.3 Eligibility and authority

You must have legal capacity to use the Platform. If you use the Platform on behalf of a company, business, wedding couple, event host, vendor or other organisation, you confirm that you are authorised to bind that person or entity to these Terms.

The Platform is not intended for unsupervised use by children under the age of 18. Event Owners must ensure that children's personal information is only uploaded or processed where a parent, guardian or competent person has consented or where another lawful basis applies.

1.4 Accounts and security

You are responsible for keeping your account login details confidential and for all activity that occurs under your account. You must use accurate information when creating or updating an account and must notify Gatherlane promptly if you suspect unauthorised use of your account.

Gatherlane may suspend or restrict access where it reasonably suspects unauthorised access, fraud, abuse, breach of these Terms, unlawful activity or a security risk.

1.5 Event Owner responsibilities

• create event pages and communications that are accurate, lawful and not misleading;
• only upload Guest information that is necessary for the event and that the Event Owner is lawfully entitled to process;
• inform Guests that their information may be processed through Gatherlane for invitations, RSVPs, updates, seating, meals, gifts, donations and other event-management purposes;
• obtain consent where required, including for special personal information, children's information, optional marketing or optional media use;
• ensure that event details, venue information, dates, times, dress codes, registry links and payment requests are accurate and up to date;
• manage Guest requests and complaints relating to the event, invitations, guest lists, event updates, media galleries and personal information controlled by the Event Owner; and
• not use the Platform for unlawful fundraising, misleading collections, scams, spam, harassment or any activity that may harm Guests, Vendors, Gatherlane or third parties.

1.6 Guest responsibilities

• provide accurate RSVP and contact information;
• not submit abusive, unlawful, misleading, infringing or harmful content;
• only upload photos, videos or messages that the Guest has the right to upload and share;
• respect the privacy, dignity and rights of the Event Owner, other Guests, Vendors and third parties; and
• read the applicable gift, donation, refund, vendor or payment terms before making payments or contributions.

1.7 Vendors

Vendors are independent providers and are not employees, agents, partners or representatives of Gatherlane unless expressly agreed in writing. Vendor listings, quotes, bookings, service delivery, cancellations, refunds, consumer complaints and disputes are subject to the Vendor Agreement and any additional terms agreed between the Vendor and the relevant Event Owner or Guest.

Gatherlane may display vendor profiles, facilitate enquiries, provide booking or payment tools and assist with support, but Gatherlane is not responsible for the actual quality, safety, legality, availability, performance or delivery of vendor goods or services unless the law provides otherwise.

1.8 Payments, donations, gifts and registries

The Platform may allow payment for Platform subscriptions, digital services, vendor bookings, cash gifts, donation contributions, registry contributions or other products or services. Payments may be processed by third-party payment providers and are subject to their terms, security checks, settlement timelines and chargeback processes.

Gatherlane is not a bank, deposit-taking institution, investment provider, insurer, trust company, financial adviser or registered charity. Unless expressly stated in separate terms, a gift or donation contribution made through the Platform is a private contribution to the relevant Event Owner or nominated recipient and not a tax-deductible charitable donation.

Fees, commissions, payment gateway charges, service charges, refund rules, chargeback handling and payout timelines must be read with the Refund Policy and Donation or Gift Registry Terms.

1.9 User content and media uploads

You retain ownership of content that you lawfully own. By uploading or submitting content to the Platform, you grant Gatherlane a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, transmit, moderate, resize, format, back up and otherwise use the content only for the purpose of providing, securing, improving and supporting the Platform and the relevant event features.

You confirm that you have the rights and permissions required to upload, share or display your content and that your content does not infringe the rights, privacy, dignity or intellectual property of another person. Gatherlane may remove, restrict or disable access to content where it reasonably believes the content breaches these Terms, violates the law, infringes rights, causes harm or creates risk for the Platform or its users.

1.10 Acceptable use

• do not use the Platform for fraud, phishing, scams, unlawful fundraising, money laundering, harassment, threats, hate speech, discrimination, impersonation or spam;
• do not upload malware, viruses, harmful code or content designed to disrupt the Platform;
• do not scrape, reverse engineer, overload, probe, bypass security, interfere with access controls or attempt unauthorised access;
• do not misrepresent your identity, event, vendor services, payment purpose, gift registry or donation purpose;
• do not use the Platform to sell illegal goods or services, regulated products without proper authorisation, counterfeit items or services that infringe the rights of others; and
• do not process another person's personal information through the Platform unless you have a lawful basis to do so.

1.11 Intellectual property

The Gatherlane name, logo, trade dress, platform design, software, databases, workflows, text, graphics, features and other Platform materials are owned by or licensed to Gatherlane and are protected by applicable intellectual property laws. You may not copy, modify, reproduce, distribute, create derivative works from or commercially exploit the Platform except as permitted by these Terms or with Gatherlane's written consent.

Registering a company or domain name does not automatically secure trademark rights in the Gatherlane brand. Gatherlane should consider separate trademark clearance and registration where appropriate.

1.12 Third-party services

The Platform may integrate with or link to third-party services, including payment gateways, hosting providers, cloud storage providers, email or WhatsApp/SMS providers, map services, social media platforms, analytics tools, vendor websites and external gift registries. Third-party services may have their own terms, privacy policies, fees, processing times, availability and support channels.

Gatherlane is not responsible for third-party services that it does not control, although it will take reasonable steps to use appropriate service providers where personal information is processed on its behalf.

1.13 Availability and changes to the Platform

Gatherlane will use reasonable efforts to keep the Platform available and secure, but the Platform may be interrupted by maintenance, updates, outages, third-party failures, security incidents, internet disruptions or events beyond Gatherlane's reasonable control.

Gatherlane may change, suspend, improve, discontinue or limit features from time to time. Where changes materially affect paid services, Gatherlane will take reasonable steps to notify affected users where appropriate.

1.14 Consumer protection and non-excludable rights

Nothing in these Terms is intended to exclude, restrict or limit any rights that may not lawfully be excluded under the Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002, POPIA or any other applicable law. If a provision of these Terms is inconsistent with a non-excludable legal right, that provision will be read subject to that right to the extent required by law.

1.15 Limitation of liability

To the fullest extent permitted by law, Gatherlane will not be liable for indirect, incidental, special, consequential or punitive loss, loss of profits, loss of goodwill, loss of data, loss caused by third-party services, vendor failures, inaccurate event information supplied by users, Guest conduct, Event Owner instructions, or unauthorised use of accounts where Gatherlane has taken reasonable security measures.

Where liability cannot be excluded, Gatherlane's liability will be limited to the amount paid by the affected user to Gatherlane for the specific paid Platform service giving rise to the claim during the 3 months before the event giving rise to the claim, unless a different limit is required by law. This limitation does not apply to liability that cannot lawfully be limited.

1.16 Indemnity

You indemnify Gatherlane, its directors, employees, contractors and service providers against claims, losses, damages, penalties, liabilities, costs and expenses arising from your breach of these Terms, unlawful use of the Platform, unlawful processing of personal information, misleading event or payment information, infringement of third-party rights, vendor service failures or user content that you upload or control, except to the extent caused by Gatherlane's unlawful conduct or gross negligence.

1.17 Suspension and termination

Gatherlane may suspend or terminate access to the Platform, remove content, disable event pages, restrict vendor profiles, delay payouts or refuse transactions where it reasonably believes that a user has breached these Terms, acted unlawfully, created security or fraud risk, failed to pay fees, infringed rights, misled users, caused harm or exposed Gatherlane to legal or regulatory risk.

Users may stop using the Platform at any time. Certain records may be retained where required for legal, tax, accounting, audit, security, dispute, payment, anti-fraud or compliance purposes.

1.18 Disputes and governing law

These Terms are governed by the laws of the Republic of South Africa. The parties will first try to resolve disputes through good-faith engagement. If a dispute is not resolved within a reasonable period, either party may refer it to a competent South African court or another competent forum with jurisdiction.

Nothing prevents a consumer from lodging a complaint with a regulator or ombud where the law allows.

1.19 Changes to these Terms

Gatherlane may update these Terms from time to time. The latest version will be published on the Platform with the effective date or last updated date. Where changes are material and the law requires notice, Gatherlane will take reasonable steps to notify affected users.
